End‑User License Agreement (EULA)

Effective date: 2018‑03‑06

This End‑User License Agreement (“Agreement”) is a legal
agreement between you (“you” or “User”) and
Nowadays Media (“Company,” “we</ strong>,” or “us”) governing your use of the Nowadays
Hub web application and related services (collectively, the
“Service”). By accessing or using the Service, you agree to
be bound by this Agreement. If you do not agree, do not use the Service.

1) License Grant

Subject to this Agreement, we grant you a limited, non‑exclusive,
non‑transferable, non‑sublicensable license to access and use the Service
solely for your internal business purposes.

2) Acceptable Use & Restrictions

No reverse‑engineering, decompiling, scraping, or circumventing
security or rate limits.
No unlawful, infringing, harmful, or high‑risk use.
No unauthorized sharing of credentials or access.
Compliance with all applicable laws and third‑party terms (e.g.,
accounting, payment, and data providers).

3) Accounts & Security

You are responsible for your account credentials, activity under your
account, and for maintaining appropriate security measures.

4) Data & Privacy

We process data in accordance with our Privacy Policy. You represent
that you have the right to submit any data you provide and that doing so
complies with applicable laws and contracts. For third‑party integrations
(e.g., QuickBooks), you authorize us to exchange data as needed to operate the
Service.

5) Third‑Party Services

The Service may integrate with third‑party services (e.g., Intuit
QuickBooks). Your use of those services is subject to their terms and
policies. We are not responsible for third‑party services or their
availability.

6) Ownership

We and our licensors own all rights, title, and interest in and to the
Service, including all software, documentation, and improvements. No rights
are granted except as expressly set out in this Agreement.

7) Term & Termination

This Agreement remains in effect until terminated. We may suspend or
terminate access for any violation of this Agreement or to protect the Service
or users. Upon termination, your license terminates and you must stop using
the Service.

8) Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER
EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT, AND ANY
WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE.

9) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE
FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE
DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE
LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS
PAID BY YOU TO US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING
RISE TO THE CLAIM.

10) Indemnity

You will indemnify and hold harmless the Company and its affiliates from
and against any claims, losses, and expenses (including reasonable attorneys’
fees) arising from your use of the Service in violation of this Agreement or
applicable law.

11) Changes

We may modify this Agreement by posting an updated version to this page.
Material changes will be indicated with a new effective date. Continued use
after changes constitutes acceptance of the updated Agreement.

12) Governing Law

This Agreement is governed by the laws of the State of California, USA,
without regard to its conflict of law rules. Any disputes will be heard in
the state or federal courts located in California, and you consent to their
jurisdiction.
